**Terms and Conditions**

Welcome to Mickey Hart At The Edge of Magic Auction (“we,” “us,” or “our”). By accessing or using our website edgeofmagicauction.com (the “Site”), you agree to comply with and be bound by the following terms and conditions (the “Terms”). Please read them carefully.
**1. Acceptance of Terms**
By using the Site, you agree to these Terms. If you do not agree to these Terms, please do not use the Site.
**2. Changes to Terms**
We reserve the right to modify these Terms at any time. Any changes will be posted on this page with an updated effective date. Your continued use of the Site after any changes signifies your acceptance of the revised Terms.
**3. Eligibility**
To use the Site, you must be at least 18 years old and have the capacity to enter into legally binding agreements. By using the Site, you represent and warrant that you meet these requirements.
**4. Participation**
To participate in our auction, you agree to provide accurate and complete information.
**5. Bidding and Winning**
Bidding is conducted electronically. You are personally responsible for any submitted bids. The highest bid at the end of the auction period indicated by the countdown listed on the Site (“Auction Period”) will be considered the winning bid, subject to verification and approval by artist management. Winning bidders will be informed no later than 48 hours following the conclusion of the Auction Period. We reserve the right to extend the Auction Period at any time.
**6. Payment**
Winning bidders are required to pay the final bid amount, shipping and handling (specified below), and any applicable taxes. Winning bidders must follow our preferred process for payment, which involves issuance of an invoice to be paid by ACH or with credit card. We must receive payment within 48 hours of invoice delivery. If payment is not received, we reserve the right to designate a new winning bidder.
**7. Item Delivery**
We will communicate directly with the winning bidder to schedule delivery. Winning bidders are responsible for covering all associated shipping and handling fees, which will be provided in a separate invoice from the final invoice for the winning bid amount.
**8. Refunds and Returns**
All sales are final. No refunds will be issued.
**9. Prohibited Activities**
You agree not to:
– Engage in any fraudulent or illegal activities.
– Post or transmit content that is obscene, defamatory, or otherwise objectionable.
– Use automated systems to access the Site or interfere with its operation.
**10. Intellectual Property**
All content on the Site, including text, graphics, logos, and software, is the property of Mickey Hart At The Edge of Magic Auction or its licensors and is protected by intellectual property laws. You may not use, reproduce, or distribute any content without our prior written consent.
**11. Limitation of Liability**
To the fullest extent permitted by law, Mickey Hart At The Edge of Magic Auction and Terrapin Station Entertainment (“Affiliate”) is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or participation in auctions.
**12. Indemnification**
You agree to indemnify and hold harmless Mickey Hart At The Edge of Magic Auction and Affiliate, its officers, directors, and employees from any claims, liabilities, damages, losses, or expenses arising from your use of the Site or violation of these Terms.
**13. Governing Law**
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
**14. Dispute Resolution**
Any disputes arising from these Terms or your use of the Site will be resolved through binding arbitration in the State of California and conducted in accordance with the provisions of the California Arbitration Act (California Code of Civil Procedure § 1280 et seq.). The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its rules and shall take place in Los Angeles, California. You agree to bear your own costs and expenses related to the arbitration, including attorney’s fees, except as otherwise required by law or as ordered by the arbitrator. The arbitrator shall have the authority to award costs and fees as part of the arbitration award.
